Job Description :

  • ICSA qualification, Associate Member of MAICSA or equivalent.
  • Minimum 15 years working experience in public listed companies, preferably financial institutions.
  • Solid knowledge of Companies Act 2016, Main Market Listing Requirements, Bank Negara Malaysia (“BNM”) Rules & Regulations and Malaysian Code on Corporate Governance.
  • Proactive, a good team player/meticulous with strong sense of responsibility and accountability.
  • Good interpersonal, organisational, communication/time management skills and ability to interact at all levels with positive attitude.
  • Organised, committed and able to multi-task in a fast-paced working environment.
  • Proficiency in Microsoft Office applications especially Words, Excel and Power Point.
  • Proficient in writing/verbal in Bahasa Malaysia/English with good communication skills.
  • Proficient in MyCOID, Kijang.Net and BursaLINK.
  • Assist the Company Secretary in preparing circular resolutions, drafting minutes of  Management, Board/Board Committee and general meetings, statutory forms/returns, announcements/notifications in accordance with the requirements of Companies Act 2016, Listing Requirements of Bursa Malaysia Securities Berhad and BNM.
  • Ensure all statutory records are properly maintained and updated, timely filing of statutory documents and compliance with statutory requirements
  • To liaise and coordinate with share registrars, auditors, advisers and government authority on corporate secretarial matters.
  • To organise, coordinate and attend meetings of Management, Board/Board Committees, Annual/Extraordinary General Meetings. Support in pre/post meetings of Board, Board Committees, Management, Annual/Extraordinary General Meetings including compilation of papers, drafting minutes/resolutions and ensure that decisions of Board/Board Committees/Management are implemented accordingly.
  • To provide secretarial support for audit, corporate exercises including share issuances, take overs and mergers, etc.
  • To monitor and organise the continuous training for the Board to keep them abreast of developments in relevant laws including Main Market Listing Requirements, Companies Act 2016, BNM’s Rules & Regulations and laws relating to Mergers and Acquisitions and other corporate exercises.
